Subscription Terms — Shitouf

Version 1.0 · effective upon publication at shitouf.com. In the event of any discrepancy between language versions, the Hebrew version prevails.

1. Scope

1.1. These terms (the "Terms") govern subscription to, and use of, the Shitouf platform (the "Platform" or the "Service"), operated by Shitouf Ltd., company number [N° DE SOCIÉTÉ À FOURNIR], address [ADRESSE À FOURNIR], Israel ("Shitouf"). 1.2. The Platform is a professional (B2B) work tool intended for licensed real estate agents, real estate agencies and property developers ("kablanim") in Israel. Registration and payment of a subscription constitute full acceptance of these Terms, the website's general terms of use and the privacy policy.

2. Description of the Service

2.1. Shitouf provides software as a service (SaaS) including, according to the plan selected: a centralised inventory of new construction projects, inter-agent matching tools, client and deal management (CRM), management of client registrations with developers, proposals, documents and associated professional tools, such as the Mas Rechisha (purchase tax) calculator and the Mashkanta (mortgage) simulator. 2.2. The calculators and simulators on the website and the Platform provide estimates only and do not constitute legal, tax or financial advice. Users must verify every result with a qualified professional. 2.3. Shitouf is not a party to any real estate transaction, does not act as an intermediary in transactions, and charges no commission on transactions between users or with kablanim.

3. Registration and Account

3.1. Upon registration, users must provide accurate and up-to-date information. Each individual may hold one account; an agency account (Team) is administered by the agency owner, who is responsible for the accounts of its members. 3.2. Users are responsible for the confidentiality of their login credentials and for all activity under their account. 3.3. Shitouf may verify the information provided, in particular the agent licence number (see Section 9), and will mark an account as "verified" only once verification is complete.

4. Plans and Prices

PlanMonthlyYearlyFeatures
Basic₪299/month₪2,990/yearUp to 100 active clients · 5 proposals per month · 1 active exclusivity · 3 deals in the pipeline · network messaging limited to 5 per week · inter-agent matching in read-only mode · email support

Team₪799/month₪7,990/yearEverything in Pro · price per agency, up to 10 members included · team management and multi-agent CRM · custom branding · priority support

4.2. Prices are in shekels and exclude VAT; Israeli VAT at the rate in force on the billing date will be added. 4.3. The Developer (Kablani) plan is free forever — see Section 8. 4.4. The limits of each plan (numbers of clients, proposals, etc.) form part of its definition. Reaching a limit is indicated within the Platform and does not generate any additional charge unless the user selects a different plan.

5. Free Trial

5.1. Every new registration by an agent or agency includes a free 14-day trial of the Pro plan, with no credit card and no commitment. 5.2. When the trial ends, if no paid plan has been selected, the account automatically switches to read-only mode (Section 7.3). As no card is requested at registration, no automatic charge takes place at the end of the trial; a charge can occur only if the user selects a plan and registers a payment method. 5.3. The trial is granted once per user (and once per agency). Shitouf may refuse a further trial in the event of repeated registrations intended to circumvent this rule.

6. Billing, Payment and Renewal

6.1. Payment is made by credit or debit card through the payment provider Stripe. Shitouf does not store card details. 6.2. The subscription renews automatically at the end of each billing period (monthly or yearly, as selected), on the same terms, unless cancelled beforehand. The next renewal date and the current plan are displayed at all times in the "Subscription & Billing" screen in the account settings. 6.3. Invoices are available for download from the billing area of the account. 6.4. Failed payment: if a charge fails, the account remains fully active for a 7-day grace period, during which the payment method can be updated. If payment is not regularised within that period, the account switches to read-only mode; it is fully reactivated as soon as payment is regularised. 6.5. Plan changes are made from the billing area; the price difference is calculated pro rata by the payment provider. A change takes effect immediately for an upgrade, and at the end of the current period for a downgrade.

7. Cancellation and Read-Only Mode

7.1. The subscription may be cancelled at any time, in one click, from Settings → "Subscription & Billing" (via the Stripe billing portal), without contacting Shitouf and with no cancellation fee. 7.2. Cancellation takes effect at the end of the billing period already paid (monthly or yearly). Until that date, the account remains fully active. No pro-rata refund is due for the unused portion of a period, except: (a) where required by law; (b) in the event of double or erroneous billing; (c) in the event of prolonged unavailability of the Service attributable to Shitouf, under the conditions of Section 11.3. 7.3. Read-only mode: at the end of the paid period, or at the end of the trial without selection of a plan, the account switches to read-only mode: the user may view all of their data (clients, properties, deals and documents) and export it, but may not create, edit or take collaboration actions. Data is retained in this mode for at least 12 months from the switch to read-only mode; taking out a new subscription during that period restores full access with all data intact. 7.4. Cancellation does not delete the account and does not extinguish commitments previously arising between users (Section 10).

8. Developer (Kablani) Plan — Free Forever

8.1. The Developer account is free, has no expiry and no trial period: unlimited publication of projects and units, receipt and management of client registrations, and access to the developer workspace — with no subscription and no commission charged by Shitouf on transactions. 8.2. "Free forever" means that the features listed in Section 8.1, as included in the developer workspace on the date of registration, will remain free without time limit. Shitouf may in future offer separate additional paid services; offering them will not affect the free-of-charge nature of the developer workspace as so defined. 8.3. If Shitouf materially changes the Developer plan model, registered developers will be notified at least 90 days in advance, by email and within the Platform.

9. User Obligations

9.1. Licence: agent users undertake to hold, throughout their use of the Platform, a valid Israeli real estate agent's licence under the Real Estate Agents Law, 1996 (חוק המתווכים במקרקעין), and to provide their licence number and licence document upon registration or upon request. Loss or suspension of the licence must be reported to Shitouf immediately and may lead to suspension of the account. 9.2. Accuracy of listings: users are solely responsible for the accuracy, legality and currency of every property, price, plan and item of information they publish. It is prohibited to publish a property without the right or mandate to market it, or a price or availability that is not up to date. 9.3. Fair use: the Platform may not be used to send unsolicited messages, to collect other users' contact details outside a legitimate collaboration within the Platform, or for any unlawful purpose. 9.4. An agency (Team) is responsible for the actions of its members on the Platform.

10. Inter-Agent Collaborations (Shitoufim) and Client Registrations

10.1. Protected addresses: resale properties held under exclusivity are presented to other agents without the full address. The address is disclosed only after the holder of the exclusivity accepts the collaboration. It is prohibited to attempt to discover, collect or disseminate protected addresses by any other means, or to contact owners behind the back of the agent holding exclusivity over a property presented on the Platform. 10.2. Client registration (denunciation): registering a client presentation with a developer through the Platform creates, as between the parties, a dated record of the presentation and of the client's identity, which serves as evidence of the presentation for the purposes of entitlement to the developer's commission, in accordance with the developer's terms and subject to applicable law. 10.3. Commission sharing: where an inter-agent collaboration results in a transaction, the commission is shared as agreed between the agents within the Platform (the built-in sharing framework) or in a separate agreement between them. Shitouf is not a party to agreements between agents, is not a party to the transaction, and is not responsible for the payment of commissions between users; the Platform's records (matches, proposals, agreements and signatures) will serve the parties as evidence of their agreements. 10.4. It is prohibited to circumvent a collaboration begun on the Platform in order to erase the record of the presentation or the match from the Platform.

11. Service Availability

11.1. Shitouf targets availability of 99.9% of the time, measured monthly. This is a service target, not a guarantee of result: the calculation excludes previously announced scheduled maintenance, force majeure, failures of third-party providers (payment, hosting, telecommunications) and causes beyond Shitouf's control. Failure to meet this target does not entitle the user to any penalty, credit or automatic refund. 11.2. Shitouf may carry out maintenance and upgrades and will endeavour to announce significant scheduled interruptions in advance. 11.3. If the Service is substantially and lastingly unavailable due to Shitouf for more than 7 consecutive days, the user may cancel the subscription and receive a pro-rata refund of the payment for the unused period.

12. Data, Ownership and Export

12.1. The data entered by the user into the Platform (clients, properties, documents, messages) belongs to the user (or to their clients, as applicable). Shitouf receives a limited licence to process, host and display such data solely for the purpose of operating the Service and the features selected by the user. 12.2. Export: users may export their data (clients, properties and deals) at any time from the Platform in a commonly used structured format, and during the read-only period following cancellation (Section 7.3). 12.3. Personal data is processed in accordance with Shitouf's privacy policy and applicable law, including the Israeli Privacy Protection Law, 1981 and, for users in the European Economic Area, the GDPR. Contacts: privacy@shitouf.com · Data Protection Officer: dpo@shitouf.com. 12.4. At the end of the 12-month read-only period (Section 7.3), Shitouf may delete the account data, subject to 30 days' prior notice by email. Data that must be retained by law (including billing documents) will be retained as required.

13. Liability

13.1. The Service is provided "as is". Shitouf does not warrant that matches, proposals or tools will produce transactions or any business result. 13.2. Shitouf is not responsible for the accuracy of content published by other users or developers, for the conduct of other users, or for the performance of commitments between users (including payment of commissions between them). 13.3. Limitation: subject to applicable law, Shitouf's aggregate liability for any damage connected with the subscription and the Service shall not exceed the total amounts actually paid by the user during the 12 months preceding the event (and, for a free account, ₪100). Shitouf shall not be liable for indirect or consequential damages or loss of profits. Nothing in this Section limits any liability that cannot be limited under applicable law.

14. Suspension and Termination by Shitouf

14.1. Shitouf may suspend an account, or terminate it after warning, in the event of: breach of these Terms (including Sections 9 and 10), expiry or non-provision of the licence, false information, non-payment beyond the grace period, or a legal requirement. In the event of fraud or unlawful use, suspension may be immediate. 14.2. Where Shitouf terminates without breach by the user, prepaid amounts are refunded pro rata for the unused period. Termination for breach by the user gives rise to no refund. 14.3. Sections 10 (collaboration records), 12 and 13 survive termination.

15. Amendments to the Terms and Prices

15.1. Shitouf may update these Terms and the prices. A material change — including a price increase — will take effect only after at least 30 days' notice, by email and within the Platform, and will apply from the first renewal after its effective date. A user who does not accept the change may cancel the subscription before it takes effect and, for a prepaid yearly subscription, receive a pro-rata refund. Continued use after the effective date constitutes acceptance. 15.2. Plan features may evolve; any material reduction of the scope of a paid plan will be notified in accordance with Section 15.1.

16. Governing Law, Jurisdiction and Contact

16.1. These Terms are governed by the laws of the State of Israel, and the competent courts of the Tel Aviv-Jaffa district have exclusive jurisdiction. If a user qualifies as a consumer under applicable law, nothing in these Terms deprives them of the mandatory rights attached to that status. 16.2. Subscription and billing contact: via the billing area of the account. Privacy: privacy@shitouf.com · dpo@shitouf.com.
